U.K. Companies (Miscellaneous Reporting) Regulations 2018


The Companies (Miscellaneous Reporting) Regulations 2018 became effective in the United Kingdom on January 1, 2019.

These regulations introduced mandatory reporting requirements for U.K. companies of a significant size in the following areas:

  1. how the directors of that U.K. company have had regard to certain specified matters when performing their duty to promote the success of the company (known as a “section 172 statement”);
  2. how the U.K. company has engaged with its employees, customers, suppliers and other stakeholders; and
  3. corporate governance arrangements.

For qualifying U.K. companies, each must include a statement on the above topics in its annual report and accounts (which are freely available from the U.K. Companies House) and must publish the section 172 statement and its report on corporate governance arrangements on a website.
